Private Limited Company Registration in Kerala 2026: Complete Step-by-Step Process

Why Register a Private Limited Company in Kerala?

A Private Limited Company (Pvt Ltd) is the most popular form of business entity for serious entrepreneurs in Kerala. It offers limited liability protection (shareholders' personal assets are protected), separate legal entity status (the company can own assets, enter contracts, and sue or be sued in its own name), perpetual succession (the company continues even if shareholders change), and easier access to funding (investors, banks, and government schemes prefer dealing with incorporated entities). For startups in Kerala's Technopark and Infopark ecosystems, a Pvt Ltd registration is often a prerequisite for angel investment, venture capital, and government grants. For a complete overview of starting a business in Kerala, see our How to Start a Business in Kerala Guide.

Prerequisites Before Starting the Registration Process

Before you begin the company registration process, ensure you have: a unique company name proposed (at least 2-3 options in order of preference), registered office address in Kerala (can be a rented or owned premises — a home address is acceptable for the initial registration), identity and address proof of all proposed directors (at least 2 directors, maximum 15; at least 1 director must be an Indian resident), PAN card of all proposed directors, digital passport-size photographs of all directors, and the company's proposed business activity (specified using NIC code and main business description).

Minimum Requirements

  • Directors: Minimum 2, Maximum 15. At least 1 director must have stayed in India for at least 182 days in the previous calendar year (resident director requirement).
  • Shareholders: Minimum 2, Maximum 200. Directors and shareholders can be the same individuals.
  • Capital: No minimum paid-up capital requirement (can be started with ₹1,00,000 authorised capital or less). However, stamp duty on authorised capital varies by state — Kerala's stamp duty is among the more reasonable in India.
  • Registered Office: Physical address in Kerala (PO box not allowed).

Step-by-Step Company Registration Process

Step 1: Obtain Digital Signature Certificate (DSC)

All documents filed with the Ministry of Corporate Affairs (MCA) must be digitally signed. Apply for DSC from any Government of India authorised certifying agency (Capricorn, eMudhra, NSDL, Sify, etc.). Class 2 or Class 3 DSC is required for company registration. The DSC is valid for 1-2 years and must be renewed. Application is online with identity and address proof. Cost: approximately ₹500-₹2,000 per director. Timeline: 1-3 working days.

Step 2: Apply for Director Identification Number (DIN)

Each proposed director must have a unique DIN. Apply through the SPICe+ form (Step 4) which combines DIN application with company incorporation. DIN is free (included in SPICe+ fee). Previously, separate DIN applications required a fee and took separate processing time. The integrated SPICe+ process handles DIN, company name reservation, and incorporation in a single application.

Step 3: Reserve Company Name

Propose 2-3 company names in order of preference on the SPICe+ form. The name must follow the format: [Unique Name] [Activity] [Private Limited] — for example, "GHR Consultancy Services Private Limited." The MCA checks name availability against existing registered companies and trademarks. Avoid names that are identical or too similar to existing companies, contain prohibited words (emperor, crown, bank, national, etc. without permission), or are offensive or misleading. Name reservation is typically processed within 24-48 hours.

Step 4: File SPICe+ Form (Integrated Incorporation Form)

The SPICe+ (Simplified Performa for Incorporating Company Electronically Plus) form is the single integrated application that covers: name reservation, DIN allotment for all proposed directors, company incorporation certificate, PAN and TAN allotment, ESIC and EPF registration (optional), GST registration (optional), and bank account opening (through the AGILE-PRO form within SPICe+). The SPICe+ form is filed on the MCA portal (mca.gov.in) with the following attachments:

  • Memorandum of Association (MOA) — defines the company's objectives, scope of activities, and liability structure
  • Articles of Association (AOA) — defines the internal rules for company management, meetings, share transfer, and director powers
  • Consent of directors to act as director (Form DIR-2)
  • Declaration by first directors (Form INC-9)
  • Proof of registered office address (rent agreement + utility bill or property deed)
  • Identity and address proof of all directors (Aadhaar, PAN, passport/driving license, bank statement)
  • Declaration of compliance with all legal requirements

Step 5: Certificate of Incorporation

After filing, the MCA officer verifies the application. If everything is in order, the Certificate of Incorporation is issued within 5-15 working days. The certificate contains the Corporate Identity Number (CIN), date of incorporation, company name, registered office address, and PAN/TAN details. Once issued, the company legally exists as a separate legal entity. You can download the certificate from the MCA portal.

Post-Incorporation Compliance Requirements

After receiving the Certificate of Incorporation, the company must complete the following within the prescribed timelines:

Common Reasons for MCA Rejection of Company Registration

Name not distinguishable: The proposed name is too similar to an existing company or trademark. Always search the MCA portal and trademark database before filing. Using a distinctive word + activity + private limited format increases approval chances.

Incorrect MOA/AOA drafting: The MOA's main object clause must precisely describe the company's primary business activity. Generic descriptions like "to carry on business" are rejected. The object clause must specify the industry, product/service category, and geographical scope.

Invalid address proof: The registered office address proof must show the complete address matching the application. If using a rent agreement, ensure it is registered (for longer-term leases), notarised (for shorter terms), or accompanied by the landlord's NOC.

Disqualified director: The MCA checks if any proposed director is disqualified under Section 164 of the Companies Act. Directors who have been directors of companies that failed to file financial statements for 3 consecutive years are automatically disqualified. Verify director eligibility before filing.

Missing or invalid DSC: The DSC must be valid on the date of filing and registered with the MCA portal. Expired or unregistered DSCs cause instant rejection.

Post-Incorporation Statutory Compliance for Pvt Ltd Companies

Once your company is registered, the ongoing compliance burden begins. The key annual obligations include: holding Annual General Meeting (AGM) within 6 months of the financial year end (by 30th September for March-ending FY), appointing an auditor within 30 days of incorporation (Form ADT-1), filing annual financial statements (AOC-4) and annual return (MGT-7) with MCA within 30 days of AGM, filing income tax return annually by the due date, maintaining statutory registers (register of members, directors, charges, and share transfers), filing any changes in directors, registered office, or capital with MCA (various forms based on the change), and complying with EPF/ESIC/PT/LWF/Shop Act obligations as applicable to your establishment size. Our Complete Labour Law Compliance Guide covers these ongoing employment-related obligations.
